Terms of Service

These Terms govern access to and use of COUNSIVA services, websites, portals and related platform functionality. They are intended as a commercial SaaS framework and should be reviewed against your final subscription documents and applicable law before launch.

1. Agreement and scope

By accessing or using COUNSIVA, the customer and its authorized users agree to these Terms and any applicable order form, subscription agreement, onboarding document or service schedule. If a separate signed agreement conflicts with these Terms, the signed agreement controls to the extent of that conflict.

2. Customer accounts and authorized users

The customer is responsible for maintaining accurate account information, assigning access only to authorized personnel, protecting credentials and promptly removing access when a user no longer requires it. Users must not share credentials or attempt to access data outside their authorized tenant, branch, country or role scope.

3. Permitted use

COUNSIVA may be used for legitimate education consultancy operations, including lead management, student administration, applications, visa workflows, finance, communication, documents, reporting, automation, portals and related operational activities enabled for the customer.

4. Customer data

As between the customer and COUNSIVA, the customer retains responsibility for the personal data, documents and operational records it enters into the service. The customer must have an appropriate legal basis, authority and permissions to collect, upload and process that data. COUNSIVA processes service data to provide, secure, support and improve the contracted service, subject to applicable agreements and privacy obligations.

5. Security responsibilities

COUNSIVA provides technical and organizational controls designed to protect the service. Security is shared: customers must use appropriate access settings, keep user accounts current, protect credentials and configure roles and scopes in line with staff responsibilities.

6. Subscription, fees and taxes

Subscription fees, included services, billing cycles, taxes, payment terms and renewal conditions are determined by the applicable order form or commercial agreement. Unless otherwise stated in writing, quoted fees do not include taxes or third-party charges.

7. Service changes and availability

COUNSIVA may improve, update or replace service functionality over time. We aim to maintain reliable service while allowing reasonable maintenance, security work and platform improvements. Specific service levels apply only where expressly agreed in writing.

8. Third-party services

The platform may integrate with or link to third-party services. Third-party services remain subject to their own terms, privacy practices, technical availability and commercial conditions. COUNSIVA is not responsible for a third party's independent acts or omissions.

9. Intellectual property

COUNSIVA, its software, interface, documentation, branding, workflows and related intellectual property remain owned by their respective rights holders. The customer receives a limited right to use the service for the subscribed purpose and may not copy, reverse engineer, resell or create unauthorized derivative services except where applicable law expressly permits.

10. Suspension and termination

Access may be limited or suspended where reasonably necessary for security, legal compliance, serious misuse, material non-payment or protection of other customers and systems. On termination, access and data handling follow the applicable commercial agreement, retention policy and legal obligations.

11. Confidentiality

Each party should protect confidential information received from the other and use it only for the agreed business purpose, subject to lawful disclosure obligations and applicable signed agreements.

12. Disclaimers and liability

COUNSIVA is an operational software platform and does not replace legal, immigration, visa, accounting, regulatory or professional judgment. Automated or AI-assisted outputs should be reviewed by qualified staff. Liability limits and warranty terms should be finalized in the applicable commercial agreement and reviewed by legal counsel before commercial launch.

13. Changes to these Terms

We may update these Terms where needed for legal, security or service changes. Material updates should be communicated through an appropriate service or customer channel, with the effective date recorded.
